NPR seeks an attorney with 10 to 15 years of transactional experience (with an emphasis on agreements relating to technology and intellectual property) to join the Distribution Relations team within the Office of the General Counsel. This position will support NPR on matters relating to distribution of content via satellite and internet for radio broadcast, distribution of content on mobile and other digital platforms, technology procurement (particularly cloud services), digital media, ad tech, marketing, business affairs and operations, content preservation and archiving, audience research and measurement, and data analysis and research in support of NPR’s reporting.
The lawyer who joins our team will help NPR embrace business opportunities while balancing risk and ensuring compliance with NPR’s nonprofit status. We are looking for a versatile lawyer with superb oral and written communication skills, a commitment to client service, practical business judgment and the ability to build strong, collaborative relationships both internally and externally. The lawyer who joins our team will review, negotiate and draft complex agreements (often without precedent). An ability to manage multiple projects, set and adjust priorities, work under pressure and maintain composure and a sense of humor while doing so are musts.
Experience handling contractual and legal matters for a media and/or technology organization, and a passion for the important work of NPR and public media, are important considerations.
RESPONSIBILITIES
• Provide legal advice and counsel to NPR business clients on issues relating to content distribution and technology, including client counseling related to digital technology, distribution of content via satellite and internet to radio stations, distribution of content in podcasts and on other digital platforms, preservation and use of archived content, intellectual property protection, information technology, and data law (including data privacy and security)
• Structure, draft, review, negotiate and analyze a broad range of complex and sophisticated agreements, with a focus on technology and IP transactions (such as inbound and outbound licenses for content, technology licensing agreements and vendor services agreements, including SaaS and other cloud services agreements), commercial contracts, agreements with research and data analytics service providers, agreements with NPR member stations and other public media partners, customers/sponsors and distribution partners, digital platforms and apps, engineering and hardware products, satellites, networks, data security, digital products and tools, and other service providers
• Advise on related issues, including: privacy and data security; sponsor-funded and subscription (fee-based) products and distribution platforms; ad-tech platforms; transcription, archiving and copyright; grant-funded technology/distribution projects; corporate underwriting and sponsorships; inbound and outbound content licensing; and audience data research
• Manage complex, high-volume commercial practice on short deadlines, providing high-level business and legal advice and risk mitigation strategies to key internal stakeholders
• Counsel on new revenue opportunities and products consistent with NPR’s mission
• Manage risk and ensure compliance with nonprofit tax law and regulatory requirements
• Lead and direct the work of others, including supervision and mentoring of junior attorneys, paralegals, administrative staff, legal fellows, interns, and outside counsel
• Cultivate, support and promote diversity, equity and inclusion in the workplace, and an inclusive and equitable workplace culture
• Coordinate with colleagues in the NPR legal department on cross-functional initiatives
• Other duties as assigned
BASIC QUALIFICATIONS
• At least 10 years of experience practicing law as a transactional attorney at a law firm and/or as part of an in-house legal team
• Membership in good standing in (or eligibility to waive into) the District of Columbia bar
EDUCATION: J.D. from an accredited law school required
WORK LOCATION:
This is a hybrid permitted role. The employee will be required to be onsite at our Washington, DC office at least 10 days a year. The employee must also reside in an NPR-supported location based on the number of onsite days they choose.
REQUIRED SKILLS
• Strong transactional background, with experience reviewing, negotiating and drafting complex agreements involving technology and intellectual property
• The ability to analyze complex contracts and effectively communicate that analysis to internal stakeholders
• An orientation toward collaboration and client service; strong client relations skills
• Outstanding written and oral communication skills, and the ability to communicate effectively at all levels and to both legal and non-legal professionals
• Proven ability to work under pressure, managing multiple projects and setting and adjusting priorities as needed, while maintaining a high degree of attention to detail and keeping the “big picture” in mind
• Experience with managing complex, high-volume commercial practice on short deadlines, providing high-level business and legal advice and risk mitigation strategies to key internal stakeholders, retaining and supervising outside counsel, and managing and mentoring junior attorneys and paralegals
• Ability to formulate creative solutions to accomplish the organization's objectives
• Sound judgment, a strong work ethic, keen attention to detail, and a creative, collaborative and business-oriented approach to problem-solving
PREFERRED SKILLS
• Experience handling contractual and legal matters for a media or technology organization, particularly relating to content distribution, digital technology and cloud services
• Knowledge of and/or experience with some or all of the following: software development and integrations; SaaS and other cloud services; ad-tech; digital products; content distribution agreements; content management services and other shares services platforms; data law; data security and incident response; consultant, service provider and/or vendor agreements
• Experience advising internal clients on business and legal issues at early stages of projects
• Experience representing tax-exempt organizations is a plus
